Governance and Organisational Structures

On 7th July 2009 the National LGBTI Health Alliance became a not-for-profit public company, governed by a constitution and a Board of Directors. It is putting policies in place that guide how it works, for example, a Code of Conduct. You can download some of them by clicking on the links at the bottom of this page.

Annual General Meeting

At the Annual General Meeting (AGM) the Board reports to the members about the activities and finances of the Alliance and discusses important issues facing the organisation. At each AGM at least half of the state/territory Directors positions are reelected. A call for nominations is sent out several weeks in advance and all Full Members in the relevant states and territories are able to nominate a person to stand for election.

Directors

The Board includes one Director elected from each state and territory. Full Members of the National LGBTI Health Alliance, ie those organisations whose core business is to promote the health and wellbeing of sexuality, sex and gender diverse people, are able to nominate and vote for these Directors. They serve for 2 year terms, with at least half of the positions being reelected each year and the new Directors appointed at the AGM. Other Directors may be co-opted by the Board for a year, for example because of particular skills they bring.

It is the responsibility of the Directors to govern the Alliance. A Governance Manual guides this work. The Board delegates some of its authority to Committees and the Executive Director, but ultimately the responsibility for the organisation lies with them.

Legal Framework

As a public company, limited by guarantee, the Alliance falls under the Corporations Act 2001 and must report to ASIC annually.

The Alliance is also registerd as a Health Promotion Charity and accountable to the Australian Tax Office.
